Welcome to FarmLink Uganda. These Terms of Service ("Terms") govern your access to and use of our website, mobile application, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.
Important: By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
We may modify these Terms at any time. We will provide notice of significant changes through our Services or by other means. Your continued use of the Services after such modifications constitutes your acceptance of the modified Terms.

2. Definitions
For the purposes of these Terms:

- Any individual or entity that accesses or uses the Services
- "Farmer"
- A User who registers to sell agricultural produce
- "Trader"
- A User who registers to buy agricultural produce
- "Supplier"
- A User who registers to sell agricultural inputs
- "Transaction"
- Any buying, selling, or exchange facilitated through the Platform
- "Content"
- Any information, data, text, images, or other materials posted on the Platform
3. Eligibility
To use our Services, you must:

Be at least 18 years old
Location
Be located in Uganda or have business operations in Uganda
Verification
Provide accurate information and complete verification
Restrictions
Not be suspended or banned from using our Services
Verification Required: Certain Services require additional verification, including but not limited to identity verification, location verification, and business registration verification.
4. Account Terms
4.1 Account Creation
To access certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use

4.3 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials
- All activities under your account
- Ensuring you log out after each session
- Using strong passwords and enabling two-factor authentication when available

FarmLink Uganda provides a digital platform connecting various stakeholders in the agricultural value chain:
Market Information
Real-time price data, market trends, and analysis
Trading Platform
Connect farmers with buyers and facilitate transactions
Input Marketplace
Access to quality agricultural inputs from verified suppliers
Financial Services
Input financing, crop loans, and payment processing
Advisory Services
Agricultural extension services and best practices
Logistics Services
Transport, storage, and aggregation services
Disclaimer: FarmLink Uganda is a platform provider. We do not buy or sell produce ourselves, nor do we guarantee the quality, quantity, or delivery of any products traded through our platform.
6. Transactions
6.1 Transaction Process
Transactions on our platform follow this process:
- Listing: Seller lists produce with quantity, quality, and price
- Connection: Buyers connect with sellers through the platform
- Negotiation: Parties negotiate terms (price, delivery, payment)
- Agreement: Both parties agree to transaction terms
- Execution: Goods and payments are exchanged
- Confirmation: Both parties confirm transaction completion
6.2 Your Responsibilities
As a User engaging in transactions, you agree to:
- Provide accurate information about products
- Honor agreed prices and terms
- Ensure product quality matches description
- Complete delivery as agreed
- Make payments as agreed
- Resolve disputes professionally
6.3 Risk Allocation
You acknowledge and agree that:
- FarmLink Uganda is not a party to transactions between Users
- We do not guarantee the quality, safety, or legality of products
- We are not responsible for delivery or payment issues
- All transaction risks are borne by the transacting parties
7. Fees & Payments

7.2 Payment Terms
- All fees are quoted in Uganda Shillings (UGX)
- Fees are subject to change with 30 days' notice
- Transaction fees are automatically deducted
- Subscription fees are billed in advance
- Late payments may result in service suspension
7.3 Taxes
You are responsible for all applicable taxes related to your use of our Services and transactions conducted through our platform.
8. User Conduct
8.1 Prohibited Activities
You agree not to:
- Violate any laws or regulations
- Infringe intellectual property rights
- Post false or misleading information
- Engage in fraudulent activities
- Harass or threaten other Users
- Circumvent payment systems
- Use the platform for money laundering
- Share login credentials
- Interfere with platform operations
- Attempt to access others' accounts
8.2 Content Standards
You are responsible for all content you post on the platform. Content must not:
- Contain false or deceptive information
- Violate others' privacy rights
- Promote illegal activities
- Contain hate speech or discrimination
- Include malicious code or viruses
Enforcement: We reserve the right to remove content, suspend accounts, or take legal action against Users who violate these conduct rules.
9. Limitation of Liability
9.1 No Warranty
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:
- The Services will be uninterrupted or error-free
- Transactions will be completed successfully
- Products will meet your expectations
- The platform will be secure from hackers
9.2 Limitation of Liability
To the maximum extent permitted by law, FarmLink Uganda shall not be liable for:
- Any indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages resulting from transactions between Users
- Acts or omissions of third-party service providers
- Force majeure events beyond our control
9.3 Maximum Liability
In no event shall our total liability to you for all claims exceed the amount of fees you have paid to us in the last 12 months.
10. Termination
10.1 By You
You may terminate your account at any time by:
- Contacting our support team
- Settling all outstanding transactions
- Clearing any pending payments
10.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- We suspect fraudulent activity
- Required by law or court order
- You fail to pay applicable fees
- For platform security reasons
10.3 Effects of Termination
Upon termination:
- Your right to use the Services immediately ceases
- We may delete your account information
- Outstanding transactions must be completed
- Fees owed to us remain payable
11. Dispute Resolution
11.1 Transaction Disputes
For disputes between Users:
- Direct Resolution: Parties should attempt to resolve disputes directly
- Platform Mediation: If direct resolution fails, contact our dispute resolution team
- Evidence Submission: Provide all relevant transaction evidence
- Decision: Our decision is final but non-binding
- Legal Action: Parties may pursue legal remedies
11.2 Platform Disputes
For disputes with FarmLink Uganda:
- Contact Support: First attempt to resolve through support
- Formal Complaint: Submit formal complaint in writing
- Mediation: If unresolved, proceed to mediation in Kampala
- Arbitration: If mediation fails, binding arbitration in Uganda
- Court Action: As a last resort, legal action in Ugandan courts
12. Governing Law & General Terms
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.
12.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FarmLink Uganda regarding the Services.
12.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
12.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms to any successor in interest.
12.5 Force Majeure
We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, or government actions.
